GAIN THE EDGE - TERMS & CONDITIONS Last Updated: 11/01/2025 Please read these Terms and Conditions ("Terms") carefully before using the Gain The Edge website (gaintheedgenow.com) or participating in any Gain The Edge programs, services, or events.

1.ACCEPTANCE OF TERMS By accessing our website, enrolling in our programs, or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services. Gain The Edge ("Company," "we," "us," or "our") operates as a business coaching and advisory firm specializing in sales systems, strategic planning, and revenue growth for established entrepreneurs and business owners.

2.DESCRIPTION OF SERVICES Gain The Edge provides: SOAR Sales System: A 90-day implementation program for building foundational sales systems SOAR Graduate Program: Ongoing monthly membership for continued support and refinement Co-Pilot Program: Sales team recruitment, training, and deployment services for select clients ready to scale their sales operations Private Mentorship: One-on-one strategic guidance and advisory services Live Events & Workshops: In-person and virtual training experiences Digital Content & Resources: Training materials, frameworks, templates, and recordings Community Access: Private online communities for program participants All services are subject to availability and program-specific terms provided at enrollment.

3.ELIGIBILITY Our services are designed for established business owners, entrepreneurs, and professionals who: Are at least 18 years of age Have the legal capacity to enter into binding contracts Operate a legitimate business or professional practice Are committed to active participation and implementation We reserve the right to refuse service to anyone for any lawful reason.

4.REGISTRATION & ACCOUNT SECURITY When you enroll in our programs, you may be required to create an account. You agree to: Provide accurate, current, and complete information Maintain the security of your account credentials Notify us immediately of any unauthorized access Accept responsibility for all activities under your account You may not share your account access with others. We reserve the right to suspend or terminate accounts that violate these Terms.

5.INTELLECTUAL PROPERTY RIGHTS 5.1 Our Content All content, materials, frameworks, methodologies, templates, and resources provided by Gain The Edge, including but not limited to: The SOAR Sales System framework The Core 4 Framework (Strategic Sales Plan, Offer Pyramid, Mountain Top Experience, Strategic Actions & Revenue Mastery) Training videos, recordings, and presentations Workbooks, templates, and downloadable resources Website content, graphics, and branding ...are the exclusive property of Gain The Edge and are protected by U.S. and international copyright, trademark, and intellectual property laws. 5.2 License to Use When you enroll in our programs, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our materials solely for your personal business use. You may not: Reproduce, duplicate, copy, or redistribute our materials Sell, resell, license, or commercialize our content Modify, create derivative works, or reverse-engineer our frameworks Remove copyright notices or proprietary markings Use our materials to train others or create competing programs Share your account access or recordings with non-participants 5.3 Your Content When you participate in our programs, you may share business information, ask questions, or provide feedback. You retain ownership of your content, but you grant us a non-exclusive license to use it for: Providing services and support to you Improving our programs and materials Creating case studies or testimonials (with your explicit permission) We will not share your confidential business information publicly without your written consent.

6.PROGRAM-SPECIFIC TERMS 6.1 SOAR Sales System (90-Day Program) Duration: 90 days from cohort start date Format: Live group sessions, recorded for replay Attendance: Sessions are scheduled in advance; recordings available if you miss a live session Completion: Completing the program means participating through the 90-day period, not necessarily achieving specific business results Cohort Limitation: Cohort sizes are limited and subject to availability to ensure a high-quality experience. Materials Access: Access to program materials continues through Graduate Program or for 12 months post-completion (whichever is longer) 6.2 SOAR Graduate Program Billing: As per the pricing displayed at the time of enrollment. Term: Month-to-month, no long-term contract required Enrollment: Manual enrollment after 90-day program completion or by invitation Cancellation: Contact [email protected] to cancel; access ends at the end of your current paid month Billing: You will be invoiced monthly; no automatic charges without your authorization Access: Access to weekly sessions, community, and resources continues as long as membership is active 6.3 Co-Pilot Program (Sales Team Recruitment, Training & Deployment) Customized Service: Co-Pilot clients receive individualized service agreements based on scope of work Services May Include: Sales team recruitment and hiring strategy Sales process design and implementation Team training and onboarding Sales systems deployment and optimization Ongoing team coaching and management support Investment: Varies based on scope; quoted after discovery consultation Terms: Detailed in separate Co-Pilot Service Agreement 6.4 Private Mentorship Customized Terms: Private mentorship clients receive separate service agreements Scheduling: Sessions scheduled by mutual agreement Cancellation: Subject to terms in individual client agreement 6.5 Live Events & Workshops Registration: Required for attendance; subject to capacity limits Event Changes: We reserve the right to change event format, speakers, schedule, or location with reasonable notice Cancellation by Company: If we cancel an event, registered participants will receive refund or credit as specified in event terms.

7.PAYMENT TERMS 7.1 Pricing & Payment All prices are in U.S. Dollars (USD) Prices are subject to change; your price is locked at enrollment Payment is due according to your selected payment plan Accepted payment methods: Credit card, debit card, ACH transfer, or other methods as specified 7.2 Payment Plans If you select a payment plan: By selecting a payment plan, you provide your prior express consent for us to charge your payment method on the scheduled dates for the agreed-upon amounts. For any subscription or service with an automatic renewal, you will be notified of the renewal terms and must provide affirmative consent at the time of purchase. You can cancel your subscription at any time by contacting us at [email protected]. Missed payments may result in suspended access until payment is received You remain responsible for full payment even if you stop participating Late payments may incur a $50 late fee after 7 days past due 7.3 Failed Payments If a payment fails: We will attempt to process payment up to 3 times You will be notified via email Access may be suspended after 7 days of non-payment You remain liable for the full amount owed plus any collection costs 7.4 Taxes Prices do not include applicable sales tax, VAT, or other taxes. You are responsible for any taxes that may apply in your jurisdiction.

8.REFUND & CANCELLATION POLICY Please see our separate Refund Policy page for complete details. Summary: SOAR 90-Day Program: Non-refundable after program start date. If you cancel before the program start date, a $250 administrative fee will be retained to cover enrollment processing and the cost of the reserved spot. SOAR Graduate Program: Cancel anytime by not paying next invoice; no refunds for partial months Co-Pilot Program: Terms specified in individual Service Agreement Events/Workshops: Subject to event-specific refund policies Digital Products: Generally non-refundable after access is granted All refund requests must be submitted in writing to [email protected].

9.DISCLAIMERS & LIMITATION OF LIABILITY 9.1 Educational Services Gain The Edge provides business education, coaching, strategic guidance, and mentorship services. We do not provide: Legal, financial, accounting, or tax advice Guarantees of specific business results or revenue outcomes Employment or franchise opportunities "Get rich quick" schemes or guaranteed income You should consult appropriate licensed professionals for legal, financial, and accounting matters. Our services are for educational and informational purposes only. The coaching relationship does not create a fiduciary relationship. You retain full responsibility for your own business decisions, actions, and results. 9.2 No Guarantee of Results IMPORTANT: Your business results depend on numerous factors including but not limited to: Your effort, commitment, and implementation Your existing business foundation and resources Market conditions and economic factors Your industry, competition, and target market Factors beyond our control or prediction We make no guarantees regarding: Revenue increases or specific income outcomes Number of clients you will acquire Success of your business or any particular strategy Return on your investment in our programs Any earnings, revenue figures, or results shared are individual examples and are not typical. Your results may be more, less, or different.

9.3 Testimonials & Case Studies Testimonials and case studies represent individual experiences and outcomes. They are not guarantees or promises of what you will achieve. Individual results vary greatly based on many factors. 9.4 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: Gain The Edge, its founders (Jim & Cyndi Padilla), employees, contractors, and affiliates shall not be liable for: Any indirect, incidental, special, consequential, or punitive damages Loss of profits, revenue, data, or business opportunities Business interruption or loss of goodwill Any damages arising from your use or inability to use our services Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid us in the 12 months preceding the claim. 9.5 Indemnification You agree to indemnify, defend, and hold harmless Gain The Edge, its founders, and representatives from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Your breach of these Terms; (b) Your violation of any law or the rights of any third party; or (c) any content you submit or share that infringes on the intellectual property rights of a third party.

10.USER CONDUCT & COMMUNITY GUIDELINES When participating in our programs and communities, you agree to: - Treat all participants, staff, and facilitators with respect - Maintain confidentiality of other participants' shared information - Participate authentically and constructively - Take responsibility for your own business decisions - Follow all applicable laws and regulations You agree NOT to: - Harass, bully, or discriminate against others - Share offensive, inappropriate, or illegal content - Spam, solicit, or promote your services without permission - Disrupt sessions or monopolize discussion time - Share recordings or materials with non-participants - Use our community to recruit for other programs - Violate intellectual property rights We reserve the right to remove any participant who violates these guidelines, without refund.

11.RECORDING & PRIVACY 11.1 Session Recordings We record live sessions for the benefit of participants who cannot attend live. By participating, you consent to being recorded. Recordings are for program participants only and may not be shared publicly or with non-participants. 11.2 Privacy Policy Your privacy is important to us. Our Privacy Policy is a separate document that explains in detail how we collect, use, share, and protect your personal information. By agreeing to these Terms, you also acknowledge that you have read and understood our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy at [link to your privacy policy page]. 11.3 Testimonials & Marketing We may request permission to use your name, business name, results, or testimonial in our marketing materials. We will always seek your explicit written consent before using your information publicly. You may decline or withdraw consent at any time.

12.THIRD-PARTY SERVICES & LINKS Our website and programs may include: Links to third-party websites Integrations with third-party tools (Zoom, email platforms, payment processors, etc.) Recommendations for third-party software or services We are not responsible for: The content, accuracy, or practices of third-party sites Your use of third-party services Any damages arising from third-party services Your use of third-party services is subject to their own terms and policies.

13.MODIFICATIONS TO TERMS We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. For Material Changes: We will notify you via email or website notice Your continued use of our services after changes constitutes acceptance If you do not agree to changes, you may cancel your services We will not make retroactive changes that substantially affect your existing enrollment terms or pricing.

14.MODIFICATIONS TO SERVICES We reserve the right to: Modify, update, or discontinue any program, service, or feature Change session schedules, formats, or content with reasonable notice Substitute facilitators or adjust curriculum as needed Improve or enhance our services We strive to provide advance notice of any significant changes that may impact your experience.

15.TERMINATION 15.1 Termination by You You may cancel your services according to the terms of your specific program (see Refund Policy). 15.2 Termination by Us We reserve the right to suspend or terminate your access to our services if: You breach these Terms or program-specific terms You engage in conduct that disrupts others or damages our reputation Your payment fails and is not resolved within 14 days We determine, in our sole discretion, that continuing service is not in mutual best interest If we terminate for your breach, no refunds will be provided. If we terminate without cause, you will receive a prorated refund for unused services. 15.3 Effect of Termination Upon termination: Your access to programs, materials, and communities will end Any outstanding payments remain due Provisions related to intellectual property, disclaimers, and liability survive termination

16.DISPUTE RESOLUTION 16.1 Informal Resolution If you have a concern or dispute, please contact us at [email protected]. We commit to working with you in good faith to resolve any issues. 16.2 Binding Arbitration If informal resolution fails, you agree that any disputes will be resolved through binding arbitration rather than in court, except as noted below. Arbitration Terms: Governed by the Federal Arbitration Act (FAA) Conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules Located in Sacramento, California (or mutually agreed location) Single arbitrator selected according to AAA rules Each party bears their own attorney's fees unless the arbitrator awards them. The parties shall have the right to take depositions and obtain discovery, subject to the arbitrator's discretion, as if the matter were pending in a California superior court. Arbitrator's decision is final and binding 16.3 Exceptions to Arbitration Either party may: Seek injunctive relief in court for intellectual property violations Pursue claims in small claims court if they qualify Seek equitable relief to prevent irreparable harm 16.4 Class Action Waiver You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class arbitrations. 16.5 Time Limit for Claims To the extent permitted by law, any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within two (2) years after such claim or cause of action arose or be forever barred.

17.GOVERNING LAW These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any court proceedings (where arbitration does not apply) must be brought in the state or federal courts located in Sacramento, California.

18.GENERAL PROVISIONS 18.1 Entire Agreement These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Gain The Edge regarding your use of our services. They supersede any prior agreements or understandings. 18.2 Severability If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. 18.3 Waiver Our failure to enforce any provision does not waive our right to enforce it later. 18.4 Assignment You may not assign or transfer your rights under these Terms. We may assign our rights to any successor or affiliate. 18.5 Force Majeure We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, acts of terrorism, internet outages, pandemics, etc.). 18.6 Survival Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination of these Terms.
